These terms govern the use of Rivert, the payroll and HR application at app.rivertapp.com, and of this website. By creating an account or using the service, the customer accepts them.
1. The publisher
Rivert is published by Rivert Consulting, a [to be completed] with a share capital of [to be completed], registered under RCCM number [to be completed], NIU [to be completed], whose registered office is at [to be completed] ("we"). It can be reached at [email protected].
The "customer" is the company or organization that creates a Rivert account. The "users" are the people the customer authorizes to use it.
2. The service
Rivert lets an employer keep employee records and contracts, calculate monthly payroll according to the rules in force in Cameroon, produce payslips, prepare the CNPS declaration and the DIPE, and manage leave and performance reviews.
We may improve and change the service. We will not remove an essential feature without telling customers in advance.
3. Accounts and access
The customer is responsible for the accuracy of the information it provides, for the users it invites and the roles it gives them, and for keeping sign-in credentials confidential. It must tell us without delay of any unauthorized use of its account.
4. Payroll calculations and declarations
Rivert calculates payroll from the data the customer enters and the statutory rates in force, and prepares declarations from the payroll the customer has approved.
The customer remains the employer. It is responsible for checking the payroll before approving and finalizing it, for filing its declarations with the CNPS and the tax administration, and for paying salaries, contributions and taxes on time. We are not liable for the consequences of incorrect data entered by the customer, or of a payroll the customer approved without checking it.
If we find an error in a calculation rule, we correct it as quickly as possible and tell the customers concerned.
5. Customer data
The customer remains the owner of the data it enters in Rivert. We process it only to provide the service, under the conditions set out in our privacy policy, where we act as the customer's processor.
The customer may ask us for a copy of its data at any time while its account is active. After the account is closed, its data is deleted under the conditions set out in the privacy policy.
6. Prices and payment
The prices and the subscription terms are those shown on the website or agreed in writing with the customer when the subscription is taken out. Prices are in CFA francs (XAF) and exclude taxes unless stated otherwise.
If an invoice remains unpaid after a reminder, we may suspend access to the service until it is paid. The customer's data is kept during the suspension.
7. Availability
We do our best to keep the service available at all times, but we do not guarantee uninterrupted service. Maintenance may make it temporarily unavailable, and we try to schedule it outside working hours.
8. Acceptable use
The customer and its users agree not to use Rivert for unlawful purposes, not to try to access other customers' data, not to disrupt the service, and not to copy, resell or reverse-engineer it.
9. Intellectual property
Rivert, its software, its brand and its content remain our property. The customer receives a personal, non-exclusive and non-transferable right to use the service for the duration of its subscription.
10. Liability
Our liability is limited to direct damage proven by the customer and, whatever the cause, to the amounts the customer paid for the service in the twelve months before the event giving rise to the claim. We are not liable for indirect damage, such as loss of profit or business.
Neither party is liable for a failure caused by force majeure.
11. Duration and termination
The subscription runs for the period chosen by the customer and renews unless terminated. The customer may close its account at any time. We may terminate the subscription in case of a serious breach of these terms, after a notice that has remained without effect for fifteen days.
12. Changes to these terms
We may update these terms. We will tell customers of any significant change at least thirty days before it takes effect. Continuing to use the service after that date means accepting the new terms.
13. Governing law and disputes
These terms are governed by the laws of the Republic of Cameroon and the OHADA Uniform Acts. The parties will try to settle any dispute amicably first. Failing that, the dispute will be brought before the competent courts of [to be completed].
These terms exist in French and in English. If the two versions differ, the French version prevails.
